You are agreeing to be bound by these Expert Terms when you register to become an Expert on the Qprofiles platform ("Terms"). These Terms define the features of the Qprofiles platform that are pertinent to Experts and are referenced in our Terms of Use, which are the general terms that govern your use of our Services. In addition, these Terms are incorporated by reference into our Terms of Use.
Regardless of whether another Qprofiles subsidiary helps handle payments to you, as an Expert, you are entering into a contract directly with Qprofiles.
As an Expert, you are responsible for all content that you submit, including mock tests, mock interviews, lectures, quizzes, coding exercises, practice tests, assignments, resources, answers, course landing page content, labs, assessments, and announcements ("Submitted Content").
You confirm and warrant the following statements:
you agree to give and maintain information on your account that is correct;
you possess the licenses, rights, consents, permissions, and authority necessary to authorize Qprofiles to use your Submitted Content as specified in these Terms and the Terms of Use, or you have the necessary licenses, rights, and consents;
your Submitted Content will not violate the intellectual property rights of any other party, nor will it misappropriate such rights;
you are able to teach and offer the services that you offer through the use of the Services and your Submitted Content, and you have the necessary qualifications, credentials, and expertise (including education, training, knowledge, and skill sets).
You will make it a priority to maintain a level of service quality that is commensurate with the expectations placed on instruction services in general and your particular business.
posting or providing any content or information that is deemed to be unsuitable, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, defamatory, or libelous is strictly prohibited;
posting or transmitting any advertising, promotional materials, junk mail, spam, or any other kind of solicitation (whether commercial or otherwise) through the Services or to any user is strictly prohibited.
make commercial use of the Services for purposes other than providing students with tutoring, teaching, and instructional services;
engage in any activity that would require us to obtain licenses from or pay royalties to any third party, including the need to pay royalties for the public performance of a musical work or sound recording;
You are not permitted to frame or embed the Services (for example, to embed a free version of a course) or circumvent the Services in any other way;
impersonate another individual or get illegal access to another person's online account; impersonate another individual;
interfering with other experts' work or preventing them from supplying their services or content in some other way; or Mis use the resources available on Qprofiles, particularly the support services.
You grant Qprofiles the rights detailed in the Terms of Use to offer, market, and otherwise exploit your Submitted Content. These rights include the right to use your Submitted Content. This includes the right to add captions or edit Submitted Content in any other way in order to make it more accessible. You also give Qprofiles permission to sublicense these rights to your Submitted Content to third parties, including students directly and indirectly through third parties such as resellers, distributors, affiliate sites, deal sites, and paid advertising on third-party platforms. This permission extends to students directly as well.
You have the ability to delete all of your Submitted Content from the Services, as well as any portion of it, at any time, unless it has been specifically agreed otherwise (including within our Promotions Policy). Within the first sixty days following the removal of the Submitted Content, Qprofiles right to sublicense the rights included in this section will expire in regard to new users, unless another arrangement has been made. However, (1) rights that were granted to students prior to the removal of the Submitted Content will continue to be honoured in accordance with the terms of those licenses (including any grants of lifetime access), and (2) Qprofiles right to use such Submitted Content for marketing purposes will continue beyond the termination of this agreement.
We reserve the right to record and utilize any and all of your Submitted Content for the purposes of quality control, as well as for the purposes of delivering, selling, promoting, showcasing, or otherwise managing the Services. You grant Qprofiles permission to use your name, likeness, voice, and image in connection with the offering, delivering, marketing, promoting, demonstrating, and selling of the Services, your Submitted Content, or Qprofiles content, and you waive any rights of privacy, publicity, or other rights of a similar nature, to the extent that is permissible under applicable law. This permission grants Qprofiles the ability to offer, deliver, market, promote, demonstrate, and sell the Services, your Submitted Content, or
You acknowledge that Qprofiles approval is required for you to make use of the Services and that we reserve the right to either grant or withhold this consent at our sole discretion.
We reserve the right to remove content, suspend rewards, and/or ban Experts at any time, for any reason, and without prior notice. This includes situations such as the following:
If our guidelines or any of the legal conditions (including the Terms of Service) are violated by an Expert or any of their content;
The content does not meet our quality requirements or has a detrimental effect on the learning experience of the student;
When an Expert engages in conduct that has the potential to reflect poorly on Qprofiles or to bring Qprofiles into public shame, contempt, scandal, or ridicule, the Expert is guilty of one of the following:
When an Expert uses the services of a marketer or another type of business partner who is in violation of the rules set forth by Qprofiles; an Expert utilizes the Services in a way that violates the policies of Qprofiles in order to promote their off-site business, for example; or an Expert uses the Services in a way that is considered to be unfair competition according to what Qprofiles, in its sole discretion, has decided.
You are obliged to comply with our Co-Expert Relationship Rules and Guidelines if you take actions that involve adding other users as co-Experts or teaching assistants for Submitted Content that you manage. The Qprofiles platform gives you the ability to add other users in these capacities. You are aware that by adding a co-Expert or teaching assistant to your Qprofiles account, you are permitting that person to do certain actions that have an effect on your Submitted Content and your Qprofiles account. Your Qprofiles account and any Submitted Content may be negatively affected if your Co-Expert or teaching assistant violates any of the rules and policies that are outlined by Qprofiles. Qprofiles is unable to provide answers to any queries or serve as a mediator for any disagreements that may arise between you and other users. If your Co-Experts have an assigned revenue share, their share will be paid out of your earned revenue share based on the ratios you have specified in your Course Management settings as of the date the purchase was made. If your Co-Experts do not have an assigned revenue share, their share will be paid out of your earned revenue share.
Because there is no direct contractual relationship between experts and students, the only information you will obtain about students will be that which is made available to you through the use of the Services. You are agreeing that you will not use the data you receive for any purpose other than providing your services to those students on the Qprofiles platform, and that you will not solicit additional personal data or store students' personal data outside of the Qprofiles platform. In addition, you are agreeing that you will not use the data you receive for any purpose other than providing your services to those students on the Qprofiles platform. You acknowledge that your use of the personally identifiable information of students may give rise to legal action and undertake to hold Qprofiles harmless from any such action.
In order to assist in preventing the unlawful use of your content, we have partnered with anti-piracy companies. In order to make this protection available, you hereby appoint Qprofiles and our anti-piracy vendors as your agents for the purpose of enforcing copyrights for each of your content as well as for any other efforts that are made to enforce those rights. You provide Qprofiles and our anti-piracy vendors primary authority to file notices on your behalf in order to protect your copyright interests, and you do so by accepting these Terms and Conditions.
You acknowledge and agree that Qprofiles and our anti-piracy vendors will continue to hold onto the aforementioned rights unless and until you revoke them by sending an email to piracy@qprofiles.com from the email address that is associated with your account with the subject line "Revoke Anti-Piracy Protection Rights." Any revocation of rights will take effect after we have received it and waited for a period of 48 hours.
You will be presented with a list of available price tiers when you go to make your Submitted Content available for purchase on Qprofiles. From this list, you will be prompted to choose a base price ("Base Price") for your Submitted Content. You also have the option of making your Contributed Content available without charge to users. In addition to this, as a Prime Expert, you will be eligible to participate in a variety of other promotional activities in accordance with the guidelines outlined in our Promotions Policy ("Promotional Programs").
In the event that you do not want to take part in any of the available Promotional Programs, we will display your Submitted Content at the Base Price or the most comparable local or mobile app equivalent (as detailed below). We reserve the right to establish a different discounted price or list price for your Submitted Content in accordance with the guidelines outlined in the Promotions Policy if you choose to participate in a Promotional Program.
We will convert the relevant Base Price or Promotional Program price into the student's applicable currency using a system-wide foreign currency conversion rate that is set by Qprofiles and fixed periodically into a table of corresponding price tiers by currency whenever a student makes a purchase using a foreign currency. When a student makes a purchase using a foreign currency, we will convert the relevant Base Price or Promotional Program price into the student's applicable currency. Due to the fact that the Price Tier Matrix is static, the conversion rates that are used during the processing of a transaction may not be the same as the relevant market rate that is currently in effect. We do not guarantee that the Price Tier Matrix will not be modified at any point in time. When a student makes a purchase using a mobile application, the pricing matrix used by the mobile platform provider will take precedence, and we will select the price tier that is closest to the applicable Base Price or Promotional Program price. There is a possibility that the conversions for mobile app prices will not match the conversions in the Price Tier Matrix. This is because mobile platforms impose their own currency conversion rates.
You are granting us permission to freely share your Submitted Content with our employees, with certain partners, and in situations where we need to restore access to accounts that have previously purchased your Submitted Content. You are also giving us permission to do so. You are aware that you will not be eligible for compensation in the aforementioned scenarios.
If a student makes a purchase of a good or service in a nation where the applicable law requires Qprofiles to collect and remit national, state, or local sales or use taxes, value added taxes (VAT), or other similar transaction taxes (collectively referred to as "Transaction Taxes"), then we will collect and remit those Transaction Taxes to the tax authorities that are responsible for those sales. If we determine that additional taxes may be required, we reserve the right to increase the price of the item being sold. When consumers make purchases via mobile applications, the mobile platform (like Google Play or Apple's App Store) is the entity responsible for collecting any applicable Transaction Taxes.
According to the information provided in our Promotions Policy, Qprofiles provides a number of promotional programs (Promotional Programs) that are entirely voluntary and in which you have the option to take part. These programs can assist you in maximizing your revenue potential on Qprofiles by determining the most appropriate price point for your Submitted Content and making it available to users via subscription collections.
You are able to change your participation status at any time, although any changes you make will not apply to campaigns that are currently active, and certain programs may have additional requirements for termination. However, there is no upfront cost to participate in these programs, and you are able to change your participation status at any time.
When a student purchases your Submitted Content, we determine the total amount of the sale based on the amount of money that Qprofiles actually received from the student. This is the gross amount of the sale. In order to calculate the net amount of the sale, we start by deducting any Transaction Taxes, any mobile platform fees that were applied to mobile provider checkout sales, a 3% service and processing fee for any non-mobile provider checkout sales, and any amounts paid to third parties in connection with the Promotional Programs. This leaves us with the amount that was actually earned from the sale ("Net Amount").
Your revenue share will be 25-35% of the Net Amount, minus any applicable deductions such as student refunds if you have not opted into any of Qprofiles' optional Promotional Programs. The only exceptions to this rule are sales generated by Expert-generated coupon codes or sales generated through course referral links, which are described further down in this section. If we decide to change this payment rate in the future, we will give you thirty days' notice through a method that is easy to find, such as sending you an email or publishing a notice through our Services.
If you decide to participate in one of the Promotional Programs, the revenue share that applies to that program could be different from what is described in the Promotions Policy.
Regardless of the currency in which the sale was completed, all Expert payments made by Qprofiles are processed in Indian Rupees. Your foreign currency conversion fees, wiring fees, and any other processing fees that you might incur are not the responsibility of Qprofiles under any circumstances. Your revenue report will detail both the sales price (expressed in the country's native currency) and the amount of revenue after conversion.
You are able to generate discount codes and referral links through the Qprofiles platform, which enables you to provide certain pieces of your Submitted Content to students at a reduced price, at the same cost as Qprofiles current price, or for free, subject to the limitations imposed by the Services. You are not permitted to sell these coupon codes and referral links on third-party websites or offer them in any other way in exchange for compensation. There are limits to the number of times you can use them. Our Consignment and Protection policies detail any additional information as well as any restrictions that may apply to the use of these referral links and coupon codes.
In the event that a student uses your coupon code or referral link during the checkout process, your revenue share will be equal to 97% of the Net Amount after deducting any applicable expenses, such as student refunds.
In order for us to pay you in a timely manner, you are required to have a Paytm, Phonepay, or bank account that is in good standing, and you are also required to keep us informed of the correct email address that is associated with your account. You are required to supply any identifying information or tax documentation that is necessary for the payment of amounts that are owed, and you agree that we have the right to withhold appropriate taxes from any payments that you make to us. If you do not provide us with the required identifying information or tax documentation, we reserve the right to withhold payments or impose other penalties. You acknowledge and accept that it is ultimately your responsibility to pay any taxes that may apply to your income.
Payment will be made either within 45 days of the end of the month in which we receive the fee for a course or within 45 days of the end of the month in which the relevant course consumption occurred, whichever comes first, depending on the applicable revenue share model.
As an Expert, it is your responsibility to determine whether or not you are qualified to be paid by a company based in India. In the event that fraud, violations of intellectual property rights, or other violations of the law are discovered, we reserve the right to withhold payment of any funds that have been won.
If, after the period of time specified by your state, country, or other government authority in its unclaimed property laws, we are unable to settle funds into your payment account, we may process the funds due to you in accordance with our legal obligations. This may include submitting those funds to the appropriate government authority as required by law. If this occurs, we may process the funds due to you in accordance with our legal obligations.
You acknowledge and agree that students do in fact have the right, as outlined in the Terms of Use, to receive a refund of their payments (in credit points). If a transaction is refunded in accordance with the Terms of Service, the Expert will not receive any revenue from that particular transaction.
If a student asks for a refund after we have already paid the relevant Expert payment, we reserve the right to either (1) deduct the amount of the refund from the next payment sent to the Expert or (2) require the Expert to refund any amounts refunded to students for the Expert's Submitted Content if there are no further payments due to the Expert or the payments are insufficient to cover the refunded amounts. This only applies in the event that there are no further payments due to the Expert or the payments are insufficient to cover
You are permitted to use our trademarks in areas where we have given you permission to do so as long as you maintain your status as a published Expert and comply with the requirements outlined below
You must:
Use only the images of our trademarks that we make available to you, according to the guidelines that we may publish at some point in the future; You are only permitted to use our trademarks in conjunction with the promotion and sale of your Submitted Content that is available on Qprofiles or your participation on Qprofiles; and if we ask you to stop using it, you must immediately comply with our request.
You must not:
using our trademarks in a way that is either misleading or derogatory; use our trademarks in a manner that gives the impression that we support, sponsor, or approve of the Submitted Content or services you are providing; or You are not permitted to use our trademarks in a manner that is in violation of the applicable law or in connection with a topic or material that is offensive, indecent, or illegal.

Before we close your account, we will make every effort, within the bounds of what is considered reasonable in the commercial world, to settle any outstanding payments that have been prearranged and are due to you. You acknowledge that you are aware of the possibility that students will continue to have access to both your name and your Submitted Content even after your account is deleted if those students were previously enrolled in your Submitted Content. We reserve the right, at our sole discretion, to modify and/or make changes to these Terms at any time. From time to time, we may update these Terms to clarify our practices or to reflect new or different practices (such as when we add new features), and we also reserve the right to update these Terms in the event that we add new features. In the event that we make any significant modifications to our services, we will make every effort to contact you through obvious channels, such as sending a notification to the email address you have listed for your account or publishing a notice on our websites. Unless explicitly stated otherwise, any changes that are made will take effect on the day that they are posted.
If you continue to use our services after any modifications, we make become operational, we will consider that acceptance of those modifications on your part. Any terms that are revised will take precedence over any and all previous terms.
You acknowledge that any version of these Terms written in a language other than English is provided solely for your convenience, and you agree that the English language will take precedence in the event of a dispute over its interpretation.
You and we are in agreement that there is no relationship between us that could be characterized as a joint venture, partnership, employment, contractor, or agency arrangement.
The following sections will remain in effect even after these Terms have expired or been terminated: Section 2 (License to Qprofiles), Section 3 (ii) (Connection to the Users), Section 5(iii) (Acknowledging Receipt of Payments), Section 5(iv) (Refunds), and Section 7 (Deleting Your Account).
